Director, Legal

Position Overview:

Dynamic Signal is looking for a Director, Legal.  Reporting to the CFO and/or the head of the Legal function (as applicable, i.e. General Counsel), the role will be responsible for identifying and analyzing key legal issues, drafting key documents, presenting clear recommendations to senior management, and assuring regulatory compliance.

Since the Dynamic Signal legal team is very small and not broken out into practice areas, the Director, Legal will be responsible for a wide scope of activities, providing the services of a full-service in-house counsel, and is responsible for managing directly or a team covering multiple areas of legal responsibility, such as tax, litigation, trademarks, IP, financing, or M&A.

The role consists of five primary areas of accountability:

  1. Scaling the Legal function for future growth
  • Participates in the definition and development of corporate policies, procedures and programs and provides continuing counsel and guidance on legal matters and on legal implications of all matters
  • Drafts and maintains forms/templates and terms as needed for a variety of commercial agreements
  • Assists in managing a contract template library. Sets up and maintains a contract management system
  • Creates and maintains the Company’s Contracts Policy document outlining all the company’s major positions on commercial items
  • Proactively identifies areas where the legal function is not scalable and not operating at industry best practices and proposes and implements plans to “fix it”.  Executes on those plans to agreed-upon timelines
  1. Commercial Counsel
  • Provides strategic and practical legal guidance and subject matter expertise to the company on the negotiation of a variety of commercial agreements (e.g., strategic partnership agreements, licensing agreements, stock purchase agreements, SaaS agreements, and development agreements)
  • Works directly with and advises key decision-makers in contract negotiations and other business arrangements, including identifying and proposing solutions to key business issues and managing risk
  • Assesses legal and risk diligence during pre-deal management presentation and negotiation stages
  1. Privacy and regulatory compliance
  • Assumes responsibility for ensuring that the company conducts its business in compliance with applicable laws and regulations
  • Ensures internal constituents are aware of the rules and requirements for GDPR or other privacy and legal requirements. Partners with the functions (i.e. Human Resources, Marketing) to audit and ensure their operational processes are resulting in compliance to laws and regulations
  1. IP, Trademarks, Tax, Financing and Other Business Support
  • Serves as key lawyer/legal advisor on all major business transactions (including channel partnerships, acquisitions and joint ventures)
  • Partners with Marketing to develop a trademark strategy
  • Runs point on legal matters related to IP, tax, HR matters, or other items as they come up
  • Advises on legal aspects of the company’s financing, including assessing and advising on current and future business structures and legal entities
  • Works on special assignments as needed
  1. Management and Leadership:
  • Proactively identifies and prioritizes strategic, longer term legal projects.  Solicits CFO buy-in on prioritization, resourcing, and timelines to completion
  • Leads and effectively manages strategic and longer-term projects for the legal function and company, while ensuring all of the day-to-day activities (contracts, privacy, etc.) stay on track
  • Leads cross-functional dialogue and provides guidance to the organization and senior leadership on legal items
  • Develops, manages and conducts training to internal clients on contract principles, negotiation of key terms, and general procedures at the company
  • Recruits, develops and retains a junior and mid-level legal team including those at the level of Sr. Corporate Counsel (as requisitions are approved and opened based on business need) – instilling best practices in all aspects
  • Manages the Legal budget.  Oversees the selection, retention, management and evaluation of all outside counsel, minimizing spend while maximizing effectiveness
  • Develops a close working relationship with senior managers across the company; leads working teams containing members with diverse backgrounds and perspectives to achieve strategic goals of the business


  • D. with excellent academic credentials and a state bar member in good standing in California
  • 8+ years of legal practice; combination of law firm and/or in-house highly preferred
  • Extremely practical and business-oriented approach to one’s work with strong attention to detail
  • Excellent organizational skills; ability to manage multiple projects at once, follow-through, and meet tight deadlines.
  • Superior relationship-building & influencing skills; ability to negotiate and collaboratively solve problems with external and internal stakeholders in a way that fosters trust and goodwill and advantages the company for both the short- and long-term
  • Demonstrated excellence at assessing risk with a flexible risk tolerance; understanding that our risk-mitigation approach must change quickly as we grow & willingness to adapt accordingly
  • Comfort working across all departments and job levels
  • Ability to handle competing deadlines with minimal supervision
  • Ability to advise business teams on a wide variety of matters. Thoughtful and creative approach to finding business solutions for legal issues
  • Experience providing counsel in the areas of contracts, corporate law, corporate transactions, agency law, data privacy, HR, and/or marketing
  • Willingness to take feedback, learn, and grow; an ethos of continuous self-improvement
